Terms of Service

1. Agreement Overview

These Terms of Service ("Terms") constitute a legally binding agreement between OTmate Pty Ltd ("Company", "we", "us", "our") and you ("User", "Customer", "you") regarding your use of our mining RF modelling software platform and related services ("Services").

2. Service Description

Our Services provide cloud-based radio frequency (RF) modelling software for mining operations, including:

• RF Propagation Modelling: Underground and surface communication planning
• Network Optimization: Coverage analysis and equipment placement
• Safety Communications: Emergency communication system design
• Integration Tools: Mining equipment and IoT device connectivity
• Reporting Suite: Technical reports and compliance documentation
• Data Analytics: Performance monitoring and predictive analysis

3. User Accounts

To access our Services, you must:

• Provide accurate and complete registration information
• Maintain current contact and billing information
• Be at least 18 years of age
• Have authority to bind your organisation (for business accounts)

Account Security

You are responsible for maintaining the confidentiality of your login credentials and for all activities under your account.

4. Acceptable Use

Our Services may be used for:

• RF planning and modelling for legitimate mining operations
• Communication system design and optimization
• Safety and emergency communication planning
• Research and development in mining communications

You may not:

• Violate any applicable laws or regulations
• Infringe intellectual property rights
• Transmit malware, viruses, or harmful code
• Attempt unauthorised access to other users' data

6. Intellectual Property

We retain all rights to the software platform and underlying technology. You retain ownership of all data you input into our Services.

We grant you a limited, non-exclusive, non-transferable license to access and use the Services during your subscription period.

7. Limitation of Liability

To the maximum extent permitted by law, our total liability for any claim is limited to the lesser of:

• AUD $100,000, or
• Fees paid by you in the 12 months preceding the claim

Nothing in these Terms excludes rights under the Australian Consumer Law that cannot be excluded.

8. Termination

You may terminate your subscription:

• At any time with 30 days' notice for month-to-month subscriptions
• At the end of annual terms with 90 days' notice

Upon termination, you may export your data for 90 days.

9. Governing Law

These Terms are governed by the laws of Western Australia and the Commonwealth of Australia. Any disputes shall be resolved in the courts of Western Australia.
